Subject: corp taxes

Marc:  I have paid all outstanding invoices for the corporate entities ($3679) and I have agreed to pay a flat fee of $5000 for completion of the 2008 corp taxes.  The bulk of most of these amts represents back-and-forth with the ownership tax people, not to mention previously paid retainers which were also eaten up by this phenomenon.

This email serves as my official notification to ownership that I will no longer take any responsibility for corporate tax filings.  I will not pay another cent and I wash my hands of it.  The last straw was my sending 2008 drafts to Rick Rowland on Jan 11th and it falling into a black hole until last week.  There was a real shot at being able to complete 2009 by April 15th and finally getting back on schedule that was wasted.

In my opinion ownership would be insane not to use Arthur Bell for tax prep, at least in an advisory capacity, for tax years 2009 and 2010 (which hopefully will be the last necessary filing).  The corporate structure and history is too complex to inject someone else at this late stage.  But they are not going to do any work on 2009 until an agreement is reached on how they are going to get paid.

Regards,

Markus Karr
