Hey Hunter –

This is very early stage so we have not discussed anything definitive yet.

Yes, this is big boys space, but the bankers and law firms we am dealing with are in this weight class.  And we are not schleps either.

Ticonderoga Securities has been asked to structure the financing and Baker & McKenzie is counsel – they helped get the initial letter from the Russian government (see attached).  ACU is the working name of the group.  The Swedish company is called SBK (Svensk KarnbransLehantering AB) http://www.skb.se/default____ 24417.aspx.

The presentation attached outlines the generic plan that ACU would like to participate in.  The is more documentation that I have seen in hard copy, but it has not been distributed.

So my contact is the MD of Structured Product at Ticonderoga and I have been collaborating with him on several fronts.  He approached me and think RSP could play role to help advise the group and well as participate in the financing/fund raising.

I am going to meet Mr Ullman in New York on the 22nd and see what he is thinking.  You are welcome to attend or join on the phone.

What do you think?

Best,

Neil

Where do we fit in. This is a very big boys game with no room for error. What exactly would be our role and what are the expectations of the interested parties.

The US-Russia 123 agreement passed in January with the support of Nunn-Lugar and the NSA set the stage for Russia to take spent nuclear fuel starting with Asian countries.

So there have been plans on the drawing board for 20 years that are being dusted off. There are on 2-3 companies in the world in-play who have the expertise. There is a Swedish firm that has the inside track to build the ships and facility within Russia and they are okay'ed by the NSA. (They'll put it on the pacific coast at an old Russian naval base).

With any deal, they need to raise equity capital before they can get debt. And this is something all the banks have passed on because nuclear deals are uninsure-able therefore un-syndicate-able.

This group got an "approval/authorization" letter from the Russian government in May.

All this is confidential.

Ask Sen H and see what he thinks.

Multiple fee opportunities for us if it's something we want to pursue.

Best,

Neil

Thanks, there is a potential opportunity that he may be leading regarding spent nuclear fuel.  Sen Hagel may also be involved going forward.  Harlan claims to advise Sen Kerry and former Sen Hagel on national security matters.  I guessed he coined the phrase “shock and awe”  I will brief you once this germinates a bit more.

They may look to RSP for advisory support and fund raising support.
