在5月7日公司第二次董事会后，管理层根据会议精神，一方面积极推进人民币和美元的募资，一方面积累优质海外并购项目储备和推进项目的执行，在募资和项目两方面均取得可喜的进展。部分海外并购项目已进入了关键的架构设计甚至面临实施操作阶段，因此，渤海华美亟需下设一家海外投资平台，以应对海外并购项目实施操作的要求，早日实现公司收入，同时以项目推进促进基金募资工作尽早完成。

Since the 2^nd board meeting on May 7, the management team, in line with the board resolutions, has made encouraging progress in fundraising for both the RMB and the USD funds as well as in building up the pipeline of cross-border M&A transactions. Certain potential deals have already come to the stage of formulating the deal structures, or even to the stage of commencing execution. To facilitate the upcoming execution of cross-border transactions, materialize revenues as early as possible for BHR, and speed up the fundraising exercise, the management team hereby proposes to incorporate a wholly-owned subsidiary with limited liability in Hong Kong or other tax efficient jurisdictions as soon as possible.

公司拟在香港设立一家全资子公司，其中文名称拟定为：“渤海华美投资管理有限公司”，英文名称拟定为：“BHR Investment Management Co., Ltd”，建议股本为5万美元，约合人民币30万元，设立费用约为人民币2.5万元，每年维持费约为人民币1.5万元。

The Company is proposing to incorporate a wholly-owned subsidiary with limited liability in Hong Kong or other tax efficient jurisdictions. The proposed corporate name of such subsidiary is “渤海华美投资管理有限公司” in Chinese and “BHR Investment Management Co., Ltd.” in English. The proposed share capital of such subsidiary is USD 50,000 （approximately equivalent to RMB 300,000）. The estimate one-off registration fee is RMB 25,000 with an annual maintenance fee of around RMB 15,000.
