Our first two options do not meet the American firm requirement--those being Bohai (vis a vi our signed cooperation agreement with CNOOC) and Burisma.

I think we should initially feel around how hard and fast a rule that is.  And if a strategic partnership with Americans or a partially owned Joint Venture with Americans would suffice.

I think that can be the nature of the first call as we think further about this.

I will be with Vadim tomorrow in DC and can discuss as well.  It will not hurt to discuss even if the American firm requirement stands up because illustrates dealflow in a region outside the Ukraine (and that development is where our equity is in that deal).

I'll do a little research in the meantime on US firms that may be approachable.

This email may sound bit blunt. But due to the urgency and you being a lawyer I have to risk this with you.

 

I seek your assistance in selecting an American Petro Chemical Construction

company to construct an oil refinery in Sri Lanka. A feasibility study done in 2006 has come up figures of cost at about US S 1.6 billion. But from at present those figures may have risen to US $ 2.2.

 

This project is not awarded by tender but by recommendation. But the government of Sri Lanka has not been able to find an American registered company so far. 

 

Me being a lawyer wish to assist the government of Sri Lanka in liaison with a Sri Lankan facilitator to find an American

company with your assistance and counsel.

 

The Central Bank of Sri Lanka will give a Sovereign Guarantee for the

funding of the project.

 

And there is an urgency in finding an American company since Japanese and

Chinese top political Dignitaries are to visit Sri Lanka in September and October. Both these countries has indicated their strong interests in discussing this project with the President of Sri Lanka. Prior to their

arrival in Sr Lanka we have to find an American company since US technology

is far superior to others in the world as according local experts.

 

What we require urgently is an Expression of Interest, Profile of the Company and Audited statement of Accounts for last 3 years. And a letter of recommendation which is explained below.

 

The EOI and accompanying documents has to be addressed to

And a similar documentation has to be sent to United States Ambassador in

Sri Lanka Ms. Michele J. Sison. And hon ambassador has to handover the same

to the President of Sri Lanka. I am told Hon Ambassidor is to meet the Sri

Lankan President sometime in the week commencing from 21 to 26th of July.

 

The EOI need not be specific on the figures they can safely put the figure

of US $ 2.2. billion which can be adjusted at later more serious stages.

 

Also this is not the only transaction involved. During the period of construction full requirements of petrolium products has to be supplied to Sri Lanka. Which is about US $ 4 billion a year. So technically if construction takes two years overall transactions will amount to nearly US $ 10 billion.

 

Along with the contract to construct refinery a buy back aggrement  (+supply of crude oil and etc) worth $ 4 billion yearly with 5% increase every year for 20 years is available for you to negotiate.

 

You can charge a fee of 0.05% of the contract to construct refinery. Other commissions in accessory contracts can be worked out later.

 

Only condition for this entire process is you have to get a letter of recommendation of the company nominated to construct the refinery by your firms Counsel Mr. Hunter Biden. And his participation in the process in advisory capacity. Mr. Hunters fees can be negotiated by you or we can do it subsequently. I will leave at your discretion to advice me. We have to have Mr Hunter in this process to succeed. I will look after the rest.

Synopsis of the project

SOREM - Sapugaskanda Oil Refinery Expansion and Modernization (SOREM) Project
The Sapugaskanda Oil Refinery was built in 1969 as a Hydro-Skimming Refinery and the original design capacity was 35,000 bbl/d. 
A limited capacity expansion was carried out thereafter and at present the processing capacity is 50,000 bbl/d of Iranian light crude oil in order to meet with the domestic requirement of Petroleum fuel. However in ratio to the rapid development taking place in Sri Lanka under the Mahinda Chintana Agenda this falls short of the current requirement. 

Accordingly, in 2009, the Government of Sri Lanka, in a bid to increase the current oil production to 100,000 bbl/d and in a view to expand and upgrade the existing facility to process not only Iranian Light Crude Oil but also to process other types of crude oils similar to Euro-V standards set up the SOREMproject. . 

Therefore the Govt. of Sri Lanka is happy to accept proposals form Engineering, Procurement and Construction (EPC) Contractors who are willing to finance the project on BOT / BOO basis.
