And also I would like to thank and appreciate the attitude expressed by our partners/consultants.

Indeed FTI and MLS did a great and very professional job for us.

Especially David, meeting and working with whom was a true value for me.

As to the financial bit, of course all the bills you have provided will be paid Monday- Tuesday next week.  And I appreciate generous offer from David to continue working until the end of august.

To be frank I treat the latest company decision to reconsider expenditures as temporal ones.

Since I am confidence that the work we had begun with MLS and FTi is of big benefit for Burisma and I will do my best to restart the full scale cooperation after some time passes and we will accommodate to new conditions.

Let’s talk on Monday and discuss all the issues.

Vadim – Yes, Devon called me this morning and relayed this very important news. Here is what I have done as a result and related information for you:

 

1.       FTI: You had approved their work for July so it expired yesterday, July 31, anyway. So I’ve told them they are not to proceed with any further work, and they confirmed that.  Although, I have asked them to join the Monday 1030am call as scheduled, per my conversation with Devon. (I think it is worthwhile for all of us to touch base on the phone, and Burisma will not be charged for that, of course.)  Please find attached the FTI bill for their July work.

2.       MLS: I also spoke to David and updated him. He understands, of course.  His agreement runs mid-July through mid-August, as reflected in the attached bill his office sent you earlier this week, so they are half way through their monthly agreement. David asked if you could pay this invoice, and allow them to do their follow-up work from our meetings last week, including a meeting we just got scheduled with the Ukrainian Embassy in the U.S. (NOTE: This afternoon, we just heard back from Vlad Shalkivksi and Ihor Baranetskyi in the Economic Section of the Ukrainian Embassy. They have offered to meet with us at 3PM on Thursday, August 7th. Of particular interest, Vlad told Georgette that the Embassy very much shares our concerns about the new increase in the gas production tax and would like to work with us to send a signal to Kiev about the possible consequences of the recent change, as well as the other proposals under consideration. He said the Embassy is also working to put together possible alternative steps that might be considered a compromise and would be interested in input from Burisma and the Association.)  He said that if you can pay this invoice, he will work for all of August for you (the second half of August for free) in order to continue building pressure from the U.S. government side. (David may not be able to join Monday’s call due to a conflict, but Georgette will be joining.)

3.       Also attached, please find the outstanding Nardello bill.  Their work is now done. I will be Fedexing you a copy of the binders they sent me.

Dear Heather, 

I believe that Devon must have already talked to you about the changes that our company is going through due to the recent adoption of the tax law for private gas companies, which is regarded in an extremely negative light by all independent gas producers here in Ukraine. As a result, we are reconsidering our expenditures and thinking of potential solutions. 

With this in mind, I am afraid we have to suspend our engagements with the FTI and ML Strategies at least for a few months till we can see the situation in the Ukrainian energy market more clearly and be able to make long-term plans. Our cooperation with the FTI team, David  and ML Strategies has been indeed very productive and enjoyable. However, latest developments are very disturbing and we need time to digest them properly to see where we are going.
