Vadim – As you consider what, if anything, you want me or my firm to do going forward, please note below the specific corporate governance recommendations we made in our June 23rd memo. You may not want to move forward on #2 or #3 in
light of the current circumstances but we recommend that Burisma seriously consider obtaining Director and Officer insurance. I will get the name and number of who Chris Boies recommends for that so that Burisma could explore that .
BSF’s Corporate Governance Recommendations from June memo (as detailed in pgs 7-9 of the attached):
1. Assist in obtaining D&O insurance
2. Draft various corporate governance policies/guidelines/charters to be considered by the Board of Burisma for adoption, including: a) a corporate governance guideline; b) a code of business conduct, including anti-bribery/corruption
policies; and c) various charters for Board committees.
3. Assist the company in reviewing potential re-domestication of the holding company from Cyprus to another jurisdiction, including providing international tax advice.
