Subject: Resolution on Burisma Holdings asset in Crimea
To: Hunter Biden <hbiden@rosemontseneca.com>, Devon Archer <darcher@rosemontseneca.com>, Katie Dodge <kdodge@rosemontseneca.com>, Sebastian Momtazi <smomtazi@rosemontseneca.com>
I would like to share with you the following information re one of our assets that was historically registered in the Crimea that is Krymtopenergoservis LLC.
This asset of the Burisma Holdings Limited (50% of the Charter capital of the Krymtopenergoservіs LLC) is located in the occupied territory (Autonomous Republic of Crimea) what resulted in impossibility of operational decision-making.
In order to avoid even hypothetical risk of sanctions in case of further functioning Burisma as a holder of "KRYMTOPENERGOSERVIS" LLC (“LLC”) in the Crimea peninsula; it was proposed to transfer the technical control of the company from Burisma to another entity.
In order to proceed with the transfer, the Burisma shall submit a written notice about intention to withdraw from the LLC’s participants. Nevertheless, the LLC will become an integral part of the group once again as soon as political situation in the Crimea will be resolved.
Therefore, I kindly ask you to sign the attached resolution that empowers our CLO Andrii Kicha to carry out required legal procedures.
