Hey guys,

Seb and I had a great call with Teneo team RE the Harvest Due Diligence.  They gave us the full court press in a good way, they are all over Devon's punch list and working every detail, including a compliance attorney who is on staff who recently was Chief Counsel at and activist Hedge Fund that attacked public boards, so she knew her space and gave us some great models to consider RE the Hold Co structure and the US entity and the Operating Agreement between the two.

Teneo also will provide the Long Form document early next week.  Cliff will circulate the BAM US = B&H Hold Co Operating Agreement draft by Monday night to discuss on Tuesday 8/11 which you all should join.

I appreciate all the efforts that Jason G and Devon have made to get our account in good standing, thank you.

But, if we are not up to date by tomorrow, I suggest that Devon and/or Hunter take the Teneo lead, Chris Wearing to lunch/dinner on Monday and do what you gotta to buy time / kiss up / dance, whatever your flavor.

They have done great work, we have never paid them a nickel, and we are over 100 days past due on our 1st payment, and owe them over $500k as of now.  

I can only image the internal dynamics and I appreciate the struggle you have been working through the past 10 weeks, but Teneo does not care, nor would any of us, they've heard the dog at my homework many times over as well all have, we have all been there my friends.  

Worst case is Doug Band, the owner/founder of Teneo, who is personal friend with Sugarman, will just have to call Sugarman and do a friend to friend thing and ask Jason why he is a deadbeat - that will suck, but will happen if we cannot clear the account soonest.  Or they put a lien on Burnham which would be reported to FINRA and sully the Burnham brand in NYC that will also suck.

I know Devon, Hunter and I have run consulting businesses in the past and we would have shut B&C off a long time ago.  So if we can't pay, we need to get Devon and/or Hunter with Wearing to do some hugs and kisses until we can settle up.

If not I think we will not be able to follow up with Harvest in a timely and quality manner and we drift to hard place.  

Please advise RE payment tomorrow or dinner plans with Chris on Monday.
