Finally had wrap up call with Goldman this morning. The answer is that they are a 'pass' on Sun. They like us and say the deal makes a lot of sense for a "PA" but doesn't fit their return profile. They emphasized that they really want to do something with us and we have a meeting in two weeks to discuss their parameters for deals so that we can have a pseudo mandate to go out and find deals (that they're happy to pay fees on) to anchor or go exclusive on equity.
