Attached is a draft Assignment and Assumption Agreement of Membership Interest to effectuate the assignment of Hudson West V LLC’s membership interests in Hudson West III LLC to Owasco PC. This Agreement also memorializes the resignation of Hudson managers and officers effective upon the transfer of the membership interests. Further, we have included a broad mutual release provision of any and all claims relative to the Company.
