[CONFIDENTIAL] Good evening NMNS board members, In preparation for our call tomorrow morning at 11 am (EDT), I want to outline our agenda, which includes two resolutions the Board will vote on and our next steps. Mary Claire Ryan, our legal counsel, Sean Glynn of the firm of Goulston & Storrs, and Laura Dillon and Margaret Brown, who have advised on communications, will also join the call. The materials attached to this email are for your information in advance. Please continue to consider all of this information confidential and not to be shared. Conference Bridge 1-866-866-2244 Participant ID: 6901418# A G E N D A * Brief recap of NMNS financial condition and Chicago meeting * Legal Process Overview * Communication Overview * Resolutions for board approval: 1. The Board has determined that it is in the best interests of the organization to cease operations and begin the process of dissolving the Network. Accordingly, all operations and activities of the Network are to end as of June 30, 2012. 2. The Board authorizes the initiation of the formal dissolution process, provided that the final Plan of Dissolution is to be approved by the Board of Directors before it is filed with New York Attorney General's office. Communication to schools and key stakeholders will begin after Board action on the 11 a.m. call (see attachments). It's important to get this decision out in a timely, consistent way to head off possible confusion and speculation. We will be clear that our action applies to the central Network organization, NOT member schools, which remain open and active as independent institutions with their own governance structures and sources of funds. Since media interest is a possibility, though we are not seeking it, we have engaged a PR firm to field any calls and to provide advice.
