The Bright Food Group is a large-scale comprehensive food industry group
that covers modern agriculture, food processing and production, and food
distribution. It owns a complete food industry chain. The group has formed a
"farm to dinner table" food industry chain that goes through the upper raw
material link, middle production and processing link and lower distribution
link. Its core businesses are the sugar industry, dairy industry,
wine-making industry, comprehensive food manufacturing industry, brand
operation, chain store operation and modern agriculture.

Shanghai Fisheries General Corp. (Group) (“SFGCG”) is a large fisheries
enterprise with over 30 wholly funded, holding or joint venture companies in
the world, integrating fishing, international trading, wholesale and
processing. As SFGCG takes deepsea fishing as its main industry, and has set
up 18 joint ventures or representative offices in 12 countries or regions,
which has formed export-oriented arrangement. SFGCG is undertaking new
development strategic plan aiming to construct and foster the core
industries of deepsea fisheries, marketing and sales and recreation
fisheries, fastening to explore and utilize high-sea fisheries resources,
strengthening aquatic products trading, completing the development of
Fisherman Wharf project, expanding the utilizations of marketplaces and
resources at home and abroad.


We have several meeting with the management team of both Bright Food Group
and SFGCG. They need BHR to seek the cross-border buyout opportunities in
connection with their strategy and business. Therefore we need your help to
look for the investment opportunity in following fields:


Bright Food Group: 1/ would like to acquire resources in Dairy, Sugar and
Wine business. Especially in wine business, Bright food asks BHR helping to
acquire NEW WORLD (South Africa, Australia and Chile etc.) chateau or wine
distribution companies. 2/ also wants to buy sales network in Southeast
Asia, Europe and USA.


SFGCG: focuses on the development of fisheries resources overseas and
domestic markets. For oversea targets, they prefer companies 1/ that with
fisheries resources and license. 2/ that with fishing processing
capabilities and/or brands, i.e. canned fish, especially those are permitted
to enter the EU market (i.e. Taiwan, New Zealand and Australia company).


Bumble Bee is North America’s leading supplier of shelf-stable seafood and
one of the world’s top 10 branded seafood companies and privately held and
headquartered in the United States. We heard that the company's owner,
private equity firm Lion Capital LLP, is preparing a sale process that could
value Bumble Bee as much as $1.5 billion.
