I spoke to LoPresti and he did confirm to me that the concept of signing a "venture partner" agreement with Avi may be a non-starter and that we will in fact run into the same problem that Realty did when trying to come to agreements with Sam, et. al. There can't be an agreement that is solely success based so if we are not offering Avi a salary or equity he can't raise money for us and be compensated for it without being registered. I think this will be problematic. Eric D.
