(IPS, SmartSynch, 4Tell, DuCool/Aqua, ALTe, Fisker, Ormazabal/NextFuels/The Bick Group to some extent) Most of them working with a VC or Private Equity shops posing as a VC, and are looking to us to fill an advisory/business development role, but also to participate in fund raising, but not as the lead. And all are a force fit to the Rosemont-Solebury Co-Invest fund - not really on strategy for that product, but with some arm twisting, maybe get them in. And Green/Blue jobs of the future will be driving by almost completely by technology innovation. Do we want to be a VC focused on Technology, Clean Tech? Not a bad place to be. Serendipitously I am meeting with BlueBird Capital on Friday which is exactly that - a late stage high tech VC fund. I can get a lot of intelligence from him. ---------------------------------------------------------------------------- -------------- Neil Callahan Rosemont Seneca 401 Greenwich Street, Suite 400 | New York NY 10013 | 212-933-9965 1010 Wisconsin Avenue, Suite 705 | Washington DC 20007 | 202-333-1880 917-945-9516 (mobile) 866-749-8879 (fax) From: Eric Schwerin [mailto:eschwerin@rosemontseneca.com] Sent: Wednesday, June 23, 2010 2:59 PM To: Hunter Biden; darcher@rosemontseneca.com Archer; Neil Callahan Subject: SmartSynch FYI, had a talk with SmartSynch today and as I suspected they'd like to re-evaluate our agreement with them. I told them that we had been talking internally as well and on our side would prefer more of an equity plus partnership relationship anyway. I talked to them about a reduced retainer and a percentage of sales. In addition, they have a $45-50m PE round coming up really soon and they'd like to hold out a piece for Rosemont Solebury to co-invest if we are interested. Gets us to where we want to be with them even if it is a hit on the retainer. Thoughts? Eric D.
