Guys - we are very close. Just on the press inquiry issue. As written, you couldn't meaningfully respond to a press inquiry about Devon or the financial condition of Burnham because even a truthful statement ("he was indicted and the company tanked") could be deemed to be disparaging.

We are calling to resolve this with counsel. Keep you posted. G.

I spoke with George. We recommend accepting Burnham’s changes but adding back in the following sentence, which Burnham had stricken: “Notwithstanding the foregoing, should any Rosemont Party receive a press inquiry, nothing herein shall prohibit the Rosemont Party from providing truthful factual information in response to such inquiry.” Arguably, the sentence is unnecessary in light of the stricken confidentiality provision, but we are concerned the non-disparagement clause might be too broad without it.

We will send Burnham the attached redline, but let them know that we are still waiting on client approval.
