Dear Shareholders:


鉴于1）公司已完成国际并购基金的设立登记并首次交割，满足了股东渤海基金董事会提出的剩余资本金出资前提；2）公司设立至今已经超过2年，
按照公司章程股东有完成剩余资本金缴付的义务。 公司管理层提请股东在2016年9月20日前完成剩余1000万元的资本金缴付（详见附件报告）。

Considering that (i) the articles of association of the Company requires
that in any event all registered capital of the Company be fully paid
within two years of the Company’s establishment date (the establishment
date being December 16, 2015), and (ii) the Company has fulfilled the
prerequisite for the payment of the final instalment of RMB3 million by
Bohai Capital to BHR, the Company hereby respectfully requests that the
shareholders contribute their pro rata share of the remaining unpaid RMB10
million registered capital per the corresponding amounts specified in the
right-most column by September 20,2016（detailed in attachment）.
