Attached is a redlined version comparing the draft that Eric sent to you
this afternoon to the version that you sent earlier this week. The current
draft more closely tracks the version that my firm originally drafted in
May, but you will see that we agreed to Burnham’s request to make the
releases mutual, and that we have largely accepted your revisions to the
confidentiality provision. I highlighted all of these changes in our call
this morning.


I think it will be most efficient if any comments or questions to this
draft are sent to me.
