Team,

I just spoke to Brien Smith and Doug Manor at Neuberger Berman.

They have all caught up internally and said they want to move forward with
a primary commitment of ballpark $25 million in RSTP II, L.P. and a direct
investment in Counsyl of up to $10 million. They are going to target
closing by June 30th.

They said it would be helpful in driving their process to closing on time
if we could do an all hands meeting with their investment committee next
Tuesday (10th) in NY. This is more to speed up their internal process vs a
further evaluation of ius. Will and I can be there but Will has to leave on
Wednesday. They are targeting 5pm on Tuesday. Would be ideal to have a
minimum our entire investment committee like at the Morgan Stanley meeting.

This is huge! The first major domino is falling!

Best,

John
