I still do not have the final term sheet but expect it this afternoon for
this preferred round. See draft offering support book I put together, minus
the term sheet, and NI 43101.

In basic terms, and everything out there is public on Bloomberg, but PGRX is
going to issue common stock at $4.25 a share with 1X warrant coverage. Up
to $10mm of equity at $4.25 a share or up to 2,352,941 shares. The round is
spoken for by one of the current institutional share holders but they have
given us an option to fill up to the amount of the round.
