[cid:image004.jpg@01CF84A7.FE1F6930] To: Center Board of Directors From: Dan Glickman, Chairman Re: Recommended Bylaws Changes Date: June 10, 2014 Last year, Liz and I began a discussion about ways to continue to support the staff as the USGLC organization grows, including reviewing some modest changes to the USGLC's staffing and leadership structure. With the news of the expected Gates Foundation grants, I recommend that we act on our prior discussions immediately. Specifically, I am recommending that Liz's title, now Executive Director, change to President and CEO. This will impact the 501c(4) officers and they are making a few minor bylaw changes to accommodate this change. Beginning July 1, the USGLC will begin a formal search for a new Executive Director who will support Liz, responsible for day - to - day operations for a staff that will grow by 30% in the next six months. Liz will continue to serve as the USGLC's principal professional, leading our strategy, fundraising and public outreach. As we will not be meeting this month, I suggest that we vote on the attached bylaw changes by email, though I am happy to have a telephone conversation with anyone to discuss these recommended changes. Specifically, the bylaws changes include: § Change Liz Schrayer's title, now Executive Director, to President and CEO. § Expand the maximum number of Board slots, now 15, to twenty to accommodate growth of the USGLC's leadership. § All other changes within the attached document are technical and legal updates recommended by our attorneys. [cid:image005.png@01CF84A7.FE1F6930] Please respond to this email with one of the following by COB Thursday, June 19: 1. I support the changes to the Center's bylaws. 2. I do not support the changes to the Center's bylaws. Liz will be sending out more details in July about the new job descriptions and plans going forward. In the meantime, if you have any questions or would like to talk through the changes, please feel free to contact Liz or Beth Boyd at (202) 730-4161 or bboyd@usglc.org<mailto:bboyd@usglc.org>.
