Dear Board Members,


为留住现有人才，提高团队稳定性，同时为吸引外部优秀人才，匹配业务发展需求，公
司薪酬结构应逐步符合市场标准。公司已聘请麦理根就优化公司薪酬结构提供专业咨询
意见，麦里根就此已于2014年11月向公司提供一份薪酬和激励体系报告（“薪酬报
告”）。公司薪酬委员会已审阅薪酬报告，并一致建议公司董事会审议并通过薪酬报告
所建议公司薪酬方案。

In order for the Company to retain its existing staff to maintain staff
stability and at the same time for the Company to attract new staff to meet
its staffing needs for the future growth of its businesses, the compensation
scheme of the Company should be in line with market standards. The Company
has engaged McLagan to provide professional advice on improving its
compensation scheme and McLagan has therefore provided the Company with a
Compensation and Incentive System Report (the “Compensation Report”) in
November 2014. The Remuneration Committee of the Company has reviewed the
Compensation Report and unanimously recommends that the Board of the Company
deliberate and approve the compensation scheme for the Company as
recommended by the Compensation Report.


因此，特此提请各位董事审议所附书面董事会决议，以批准：

The written board resolution as attached is therefore presented to you for
deliberation so as to approve:


* 按薪酬报告所建议方案，公司整体薪酬定位于50分位，2014年内公司薪酬调整到25
分位；以及

As recommended by the Compensation Report, the total compensation of
employees of the Company be positioned at P50 and the fixed compensation of
employees of the Company be adjusted to P25 in 2014; and

* 授权公司管理层自2014年12月1日开始实施在2014年内公司薪酬调整到25分位。

The Management of the Company be authorized to adjust as from December 1,
2014 the fixed compensation of employees of the Company to P25 in 2014.
