Agreed, Eric. I do not recommend serving as Devon’s invitation or at behest. If Norvik independently asked you to serve in your right and capacities, and not as a proxy or placeholder for Devon. Nor should your term end when Devon’s legal issues are sorted out, assuming he would want to again serve. You would have independent duties in your capacity as a Director.

Hunter-

I spoke to George (copied here so he can weigh in and to maintain confidentiality) re: the Norvik Bank Directorship.

We weren’t sure if you are being asked to take the Board seat independent of Devon or as Devon’s proxy because he is a shareholder. George’s recommendation is that there is no reason why you shouldn’t serve as an independent director but that you would want to avoid serving as Devon’s proxy in order to maintain the consistent message that there is no relationship between you and RSB/Ulysses other than that which we already outlined to the SEC/DOJ.

My assumption was that you are being asked to serve on the Board independently and not as a proxy but I wasn’t sure. I can’t imagine Grigory would have a problem with you serving on the Board with this clarification.

George, weigh in if I mischaracterized anything.
