Following Wednesday’s board meeting, we would like to formally kick off the
formation of the Strategy Committee, initial thoughts below:

根据第十一次董事会的意见，公司拟尽快在董事会下设战略委员会，在战略委员会人员
组成上，公司初步考虑如下：


1. Committee members to include Bin Zhou + Andy Lu + Ming Jiang +
one director nominated by the American shareholders + Hong Xiang

战略委员会组成初步建议：周冰、卢长祺、蒋明、美方各股东推荐一名、向宏
（Venture Partner），共5名成员。


2. Committee Meetings: quarterly (quorum constituted with 3 of 5
members present in person or by proxy)

战略委员会计划每季度召开一次会议（战略委员会投票机制为五分之三通过）。


3. Observers: members of the BHR team (ad hoc basis)

列席人员：公司高管和团队成员。
