Re: Status of Asset Purchase agreement between Skaneateles (“SKA”) and Chandler Underwood Partners (“CUP”).

This letter certifies that Chandler Underwood Partners has fully complied with the terms of the asset and purchase agreement (“Agreement”) through the first four quarters encompassing calendar year 2010. The agreement, which became effective January 1, 2010, provides for the sale of SKA’s 49% interest in EnGage LLC.

For the second and final year of the agreement, the quarterly payment owed to SKA will be $21,000 based on the current retainer revenue from the clients listed in the agreement. This amount may change further during the course of 2011 if any retainer fees from the listed clients is increased, reduced, or eliminated.

Paul-

Just gave you a call and left you a voice mail. Not sure if Anne Marie let you know yet, but you have a check from UDM here.

Hunter and I are working on closing out our books for the year by first thing next week and I wanted to check and see what the status of our payment might be. Hopefully, you have a better sense now and I assume you are going through the same year end bookkeeping exercise we are and would like to wrap that up sooner rather than later.
