Mike Dear Dave: It was great meeting with you and Marc recently and I appreciate you making the trip to Washington to update Michael and I on the impressive progress Zinc Air has made since we first spoke. As we discussed, and as you know better than anyone, there is tremendous opportunity in the burgeoning energy sector and we’re thoroughly impressed with Zinc Air’s products and business strategy. What follows is a brief overview of a number of the topics we discussed and how we envision ourselves assisting Zinc Air as you look to bring your products to market. Given the potential utilization of your products across a multitude of businesses, the scope of our engagement can be expanded or reduced as is beneficial to you and your team. *Renewable Energy Partners* You mentioned at lunch that you are in negotiations with a wind company on setting up a pilot project utilizing your energy storage solution. We’ve developed relationships with a multitude of companies in the wind, solar and tidal power industries that would jump on an energy storage application such as yours. Whether in an attempt to locate willing partners to continue in your proof of concept process or in your sales outreach, we’re confident in our ability to identify companies that are consistently on the lookout for this type of technology. A few that we discussed at lunch include the world’s largest wind power producer, Iberdrola, Blue Water Wind of Delaware and specific wind projects such as the Caithness Shepherds Flat project in Oregon. *Strategic Partners * In addition to the renewable energy companies mentioned above, we also discussed a number of the retail and institutional firms we have strong relationships with. We’re working closely with a team at the University of Delaware, in coordination with businesses and the State government, to assist them in finding clean tech companies to populate a technology park they are working to develop at the site of an old Chrysler plant in Wilmington. The nexus between the University, State government and private enterprise has been extremely positive in creating an environment where businesses can flourish within a supportive framework. Zinc Air would certainly fit into this mold and we’d be happy to introduce you to the appropriate people at all levels. Aside from the University of Delaware, we have extensive ties with large corporate entities that would certainly be interested in Zinc Air’s technology. We’ve introduced a number of efficiency technologies to Google, Walmart and other corporations that have large energy footprints. This is an avenue that we’d certainly want to explore in more depth should we move ahead with a formal relationship. *Capital Formation * * * A final point we discussed was Zinc Air’s fiscal approach towards developing and expanding its business. As you and Marc know, finding the right financial partner, should you deem it necessary, is critical in your growth and ultimate success. We’ve formed a strong network of funds and high-net worth individuals with whom we can position Zinc Air as a potential investment opportunity. Born out of our consulting experience, we added additional focus from not only serving clients, but also utilizing our understanding of the public sector to identify those companies who can transform products and policy while at the same time securing superior returns on investment for our industry partners. Again, our approach will be largely dependent on your capital needs and strategy in bringing Zinc Air to market. As we briefly touched on in our meeting and per our last proposal, we typically enter into an annual retainer arrangement with our clients. In moving forward with our agreement with Zinc Air, we propose a monthly retainer of $15,000. The scope of our contract would be for the aforementioned initiatives in addition to those that are bound to arise as our relationship evolves. We are excited at the prospect of a partnership between Rosemont Seneca Partners and Zinc Air and are confident in the results our combined capabilities will produce.
