Please provide as little or as much as you feel comfortable with me sharing to have them pull this term sheet together; Burnham request:

1. RSPI P&L - if estimated RSPI will do $750k gross revenue in ’15, we should see what the performance has been in ’13 and ’14.

2. RSA P&L – we want to see the monthly overhead expenses and build a model where we can get a 15-25% synergy cost savings. Also want to see the labor costs and how we can structure base-draw/bonus alternatives.

3. 2015 contracts for RSA and for RSPI – take a look at which clients have renewed and what contracts are assignable upon change of control.
