Eric and Hunter –

George is in court all day today, but asked me to send things we received from Burnham to you immediately upon receipt. We just received the attached proposed changes to the termination letter agreement. The pdf shows a redline highlighting the changes Burnham would like to make. It appears the key changes include:

· Adding language that states the Asset Purchase Agreement contemplated the transfer of assets, but that transfer was not accomplished. The letter now states that a dispute has arisen, both sides have claims, and the parties wish to avoid litigation.

· Instead of agreeing to transfer the assets to Skaneateles, it now states that any rights Burnham had to transfer are extinguished.

· The Confidentiality provision is essentially stricken, but the non-disparagement provision remains.

· Adds a phrase that Rosemont and you will deliver to Burnham “all property of Burnham”
None of these changes strike me as problematic, but note that I am not as familiar with the termination letter as is George, and therefore he will likely have additional insights.

Let us know if you have any questions.

Thanks,
Jane

Hi George,
Further to our conversation, while Burnham Asset Management (BAM) disagrees with certain statements contained in your correspondence of yesterday and denies any liability to the Rosemont Parties, BAM would like to reach a mutually acceptable resolution. We will follow with you as soon as possible tomorrow on this. We are trying to turn this as quickly as possible.
Best regards,
Peter

Nick,

We would like to resolve this matter consensually, as our efforts to date reflect. To that end, can you and bankruptcy counsel please be available as soon as possible this weekend for a call to discuss the bases of Burnham's refusal to sign the settlement agreement? And hopefully we can draft around the concern to give your client comfort. I am available anytime this weekend by email or by cell phone (below). But I must underscore the need to resolve this matter before next week.

Thank you.

George
