George is in court all day today, but asked me to send things we received from Burnham to you immediately upon receipt. We just received the attached proposed changes to the termination letter agreement. The pdf shows a redline highlighting the changes Burnham would like to make. It appears the key changes include:

• Adding language that states the Asset Purchase Agreement contemplated the transfer of assets, but that transfer was not accomplished. The letter now states that a dispute has arisen, both sides have claims, and the parties wish to avoid litigation.

• Instead of agreeing to transfer the assets to Skaneateles, it now states that any rights Burnham had to transfer are extinguished.


• The Confidentiality provision is essentially stricken, but the non-disparagement provision remains.

• Adds a phrase that Rosemont and you will deliver to Burnham “all property of Burnham”

None of these changes strike me as problematic, but note that I am not as familiar with the termination letter as is George, and therefore he will likely have additional insights.
