Hi George,
Here is a clean and marked termination letter reflecting proposed revisions. A few items to note:

1. I am still confirming that a May 11 date for the transfer of the revenue stream works for my client. I will let you know if that is an issue.
2. Expanding the release to cover affiliates and equity holders is too broad, and Burnham does not have authority to release on behalf of these separate entities.
3. Burnham is amenable to either a mutual indemnification or no indemnification. A one-way indemnification, given that the parties are effectively walking away from each other, will not work.
