Dear Deven,

We appreciate the opportunity to meet with Rosemont Seneca to discuss our interest in the Jubilee asset. As we previously communicated to you, CNPC are very keen on the acquisition of Jubilee as it represents a highly strategic opportunity for us in terms of the quality of asset, deep water exposure, significant reserve and resource potentials, world-class partnership and near production nature. We recognize that time and certainty are of essence to Kosmos and BlackStone(shareholders) in consideration of a potential sale of their interest in Jubilee. We wish to use this opportunity to assure you of our keen interest to develop a binding offer, with the assistance from Kosmos and its shareholders, in order to consummate a transaction in an expedited manner. CNPC also recognize the critical importance of local government support in a transaction of this nature. We are confident to form a win-win situation with host countries with our unrivalled operational and financial capabilities as well as our extensive experiences across the globe. We are prepared to advance and finalize such discussions in parallel to finalizing the binding offer.

As an evidence to our effort, CNPC submitted an indicative offer based on information available to the public. However, we will need certain due diligence information so as to firm up an offer of binding nature. We understand that significant progress have been made with respect to Jubilee over the past two years. In order for our offer to fully reflect such progress and respective impacts on valuation, we will need assistance from BS to access information such as the latest reserve reports and development plans etc. We are prepared to discussing the scope and timetable for such a due diligence exercise and agree upon a detailed work plan. We are also prepared to mobilize a team of CNPC professionals, technical consultant, financial advisor, as well as accounting and legal advisors to promptly kick start the due diligence, should the information access is granted to us.
