Wonder if this is something QIA would be interested in......I think it would need to be a significantly large investor. Eric D. Begin forwarded message: From: Karen Tramontano <ktramontano@rspinv.com> Subject: Referral Date: June 24, 2014 at 1:07:55 PM EDT To: Eric Schwerin <eschwerin@rspinv.com> Dear Eric, As you may know, Blue Star has done a good deal of work in Europe. Most recently in Bulgaria where we worked to advice a new political party. We coordinated our work there with an individual who owns one of the largest commercial banks in Bulgaria. It is a long a complicated story - and I'll send you background information - but last week there was a run on the bank which resulted in huge bank losses and a loss of its liquidity and now the Central Bank of Bulgaria has forced it to shut down to stop the run. The Board of Governors of the Bank and its minority shareholders are looking for an investor - they sent me the terms which are outlined below. I wrote to them and explained that this type of work should be done by an investment bank, disclosed my relationship with RSP Investments and recommended, if they want to go further and seek a US investor that they need to engage a firm. I'll forward you via a separate e mail the bank ground on the bank and when my staff returns from lunch I'll send you a document we have put together outlining the events of the past few weeks. My belief is that the Government of Bulgaria will not let this bank fail because it's too big so it may present a good opportunity for an investor who is risk adverse - While we do a good deal of work with banks in Europe I have not reached out to any of them given the rules of the road. Let me know your thoughts Karen Dear Karen , The proposal for the potential investor from TV is the following : The investor plus the recent minor Omani share holder ( 30 % of the shares) will increase the capital of Bromak ( this is the company of TV through which he was holding 50.5 % until the attack ) according to the assessment of the Central Bank's supervisors, which is expected to be to 1 billion euro. With this funds Bromak will acquire and pay the debts of the companies to the Bank. In this way the investor with the Omanis will acquire Bromak together with the companies as following : 1. 50.5 % of the capital of Corporate Commercial Bank- appr value 165 mln euro 2. 77 % of Vivacom - the national mobile operator - 300 mln euro value 3. 97 % of Petrol - the biggest petrol stations grid and petrol terminals - 200 mln euro 4. Euro build - real estate property company, holding the buildings of the Bank -50 mln euro 5. 100% of Dunarit - military production company - 75 mln euro 6. 100% Avionams - military aviation production company - 50 mln euro 7. 100. % Plana sat - satellite telecommunications - the only one in Bulgaria 8. Nurts - transmit ion antennas 120 mln euro 9. 100% of Sana hotels - 25 mln euro 10. 100% of shipping building company in Ruse - 50 mln 11. 100% of glass company in Pleven- 45 mln euro 12. 100% of glass company in Palacin, Sarbia - 75 mln euro 13. 100% of IPS - infrastructure construction company - 30 mln euro And some other minor companies Of course the Investor could go without Omanis and they will stay a minor share holder if this is preferable Karen A.
