在公司管理层的努力下，西班牙两个金融项目、荷兰飞机服务项目推进顺利，获得了潜
在投资人中国国新控股有限责任公司的高度认可。特别是中国银行对西班牙两个金融项
目表示大力支持，愿意作为基石投资人参与。

With continuing efforts, we have identified two Spanish deals and a Dutch
deal which have been proceeding quite well and are highly recognized by a
large potential investor, i.e., China Reform Holdings Corporation Ltd. It is
worth to point out that Bank of China is very interested in the two Spanish
deals and is willing to participate as cornerstone investor.


由于上述海外并购项目已进入了关键的架构设计甚至面临实施操作阶段，为了推进项目
的执行，2014年5月30日公司董事会通过了在香港或其他税收优惠法域设立一家有限责
任公司形式的全资子公司的决议，该子公司将用于对上述海外项目所募集的专项美元基
金的管理。

Considering that we are in the process of structuring or even executing the
above deals, the Board of the Company passed a resolution on May 30, 2014
and approved the incorporation by the Company of a wholly-owned subsidiary
with limited liability in Hong Kong or other tax efficient jurisdictions.
Such subsidiary will be used as the management company for the USD fund to
be raised for the purpose of pursuing the above deals.


考虑到目前国际并购基金中美元基金部分的募集工作将推后一步进行，公司建议目前暂
不再由公司各股东在海外共同设立该等美元基金的管理公司，同时将原拟用于该等管理
公司股本的500万元人民币转为增加公司的注册资本，即：公司的注册资本将由原来的
2,500万元人民币增加到3,000万元人民币，增加500万元人民币，由公司现有股东按其
在公司持股比例认购。该等增加的注册资本将用于由公司设立该等管理公司及其相关费
用。

As the fundraising for the USD fund under the proposed cross-border fund
will be postponed, it is therefore proposed that a management company for
such USD fund not be incorporated jointly by the existing shareholders of
the Company, and RMB 5 million proposed to be used as the share capital of
such management company be used to increase the registered capital of the
Company, i.e., the registered capital of the Company be increased by RMB 5
million which will be subscribed by the existing shareholders of the Company
on a pro-rata basis in proportion to their respective shareholding in the
Company. Such increased capital be used to fund the incorporation by the
Company of such management company.
