I agree. Some comments and we can discuss on our call next week: 1) Let's use the $21,000 a month number and see if that works. 2) On the incentive fee, we weren't sure what to put in. I think it should be a set percentage, but if you go by our initial incentive fee for this it works out to far less than 1%, so there isn't a clear precedent. That one was clearly lower than the norm because we were brought in towards the end of the process. 3) We should discuss whether things beyond Amtrak should be considered part of this or whether we want/need separate agreements. I'd be inclined to focus this just on Amtrak. We already give them free advice on things like Houston (which were never part of the original agreement) and we will continue to do so, but once we get this extension locked in with a focus on Amtrak we should probably talk to them about additional opportunities beyond Amtrak. We can discuss on Tuesday's call. Best, Eric Eric D. There is no reason to change this. Also, I think we should state the monthly rate here ( 20.833 Usd or 21.000 usd or 20.000 Usd) not the yearly. 2) In paragraph “ Consideration / Term “ I would also mention the incentive fee issue that we would agree upon for each specific project. 3) In the “Consulting Services”, apart from helping with Amtrak (which is very important), I would also include specific projects where Transatlantic / Rosemont can be involved in advising them to win a specific contract. For example: Los Angeles, Houston or any other project that Amtrak might have right now in their pipe line. Another way to do is by requesting a list of the different opportunities that they see right now in the US market Let me know your thoughts.
