The salient points:

· Mutually terminates Asset Assignment Agreement and Employment
Agreement; renders null and void

· Returns transferred assets back to Rosemont Seneca

· Burnham not entitled to any more revenue

· Rosemont retains any clients, etc.

· Hunter not bound by confi in Employment Agreement

· Burnham releases RSP, et al

· Burnham indemnifies RSP, et al

· RSP and Hunter may make press release or public statement;
Burnham may not relating to Asset Assignment Agreement and Employment
Agreement
