经各位同意，渤海华美（上海）股权投资基金管理有限公司（“公司”）定于2014年5月7日下午5:30在公司北京办公室（地址：北京市朝阳区建国路79号华贸中
心写字楼2座31层3101室）召开第二次董事会会议，主要议题如下：

With your consent Bohai Harvest RST (Shanghai) Equity Investment Fund
Management Co., Ltd. (the “Company”) is proposed to hold its second board
meeting on 5:30pm of May 7, 2014 at its Beijing office (address: Unit 3101,
31/F, Tower 2, China Central Place, 79 Jianguo Road, Chaoyang District,
Beijing), the agenda of which is as follows:


Ÿ 听取公司管理层关于公司运营以及国际并购基金募资最近情况的汇报；

To hear the report by its management on recent developments relating to its
operation and the capital raising for its proposed cross-border fund;

Ÿ 审议关于请求公司股东缴纳公司剩余注册资本及授权管理层聘请募资代理和财务顾问的议案；以及

To deliberate the proposal to call the remaining capital from its
shareholders, and to authorize the management to engage placement agent and
financial advisors; and

Ÿ 审议并决定聘请公司独立审计师。

To deliberate the proposal on the engagement of its independent auditor.


所附为本次董事会会议拟通过的相关决议，供审阅。

Attached for your review and comments is the board resolution proposal to be
adopted on this meeting.
