EMAIL DETAILS

Hunter – Per the email chain you forwarded below, we’re discussing our advice on the most prudent roll out of you, and potentially of BSF, via Burisma. We will return with some recommendations this afternoon. In the meantime, can you please send us any agreement they may have provided you for your signature, pursuant to your becoming a Board Member?

In addition, please note that I’m going to hold off on sending the revised Engagement Letter for their signature until we have resolved our advice to you later today, because it may entail issues surround conflict of interest considerations and it will be best to have that discussion prior to Burisma becoming our Client.

Heather/ Mike
Take a look at email chain below. Start at the bottom and work your way up to my thoughts. I want to make sure you agree with the approach. My objective is to make this less about me personally and more about me and BSF as counsel to Burisma. Any thoughts or suggestions are welcome. Thanks, Hunter.

I am fine with all of those. For #3 however, I think any outside press regarding me should be done in conjunction with the hiring of BSF. So any statement or external press release would read something like: Hunter Biden, Counsel for BSF joined the Board this week in conjunction with engaging the US law firm of BSF. BSF will advise Burisma on... Mr. Biden as a director of the company will be primarily responsible for coordinating Burisma's internal and external legal advisors regarding...

Something along those lines. And then Heather/ Mike can make comments to the press.

What do you think. I think it's important we try to link the two engagements as closely as possible.
If I make any kind of statement it should be along the lines of: "Burisma's expertise and track record as the largest independent producer of energy inside Ukraine is vital to the growth and security of the Ukrainian economy. Burisma has shown leadership in adopting the most advanced technical expertise in the field of natural gas and by partnering with major US firms they have positioned themselves to increase production and productivity as they expand operations domestically to meet the growing energy needs of Ukraine. I look forward to advising Burisma along with BSF on matters of corporate governance, US partnerships and international expansion. The objective is to help Burisma maintain it's critical role in the production of domestic energy for the benefit of the Ukrainian people and their economy. I was honored to be asked to serve on the board by President X and to join the Chairman Alan Apter, DA etc.... I believe Burisma is committed to creating a transparent corporate culture...

Given that Burisma is going to execute the proposed engagement letter and engage Boies imminently, let's discuss how you would like to communicate in regards to the below.

A. We agree upon Boies engagement you would join the Board. Assume that's the case?

B. What you've also agreed to so far is that once you join the Board your profile / bio would be posted to the website.

Vadim has suggested some additional steps below which we can accept or push back on or accept some and push back on others. The only thing I've agreed to is #1 below on your behalf. Please let me know your thoughts.

Do you want to cross reference and / or ask for clearance from Boies on these? As a practice going forward?

(In regards to my Director profile with Burisma to date; I am a registered Board Director, I have my bio posted on the website; press release issued in Ukrainian and Russian language, one posted interview in Ukrainian and Russian language, both in local business newspaper.)

Subject: few steps after signature with Boies

Dear Devon,

Following our last email exchanges with regard to signature of the EL from Boies, it looks like within 24hours it will be signed. Following that even, I would like to clarify /coordinate with you few steps that we agreed we would do after this document is singed by both parties, and few other moves I have in mind.

Please comment below each point, Thank you.

1. We put HB bio and photo on the Burisma website.

2. We make press release as to HB appointment and put it on the website only.

3. We make press release as to HB appointment and send it out to Ukrainian media.

4. We make a small news article as to HB appointment and put it on our website only as the news of the company.

5. We make 1 or 2 articles as to HB appointment, maybe in a form of the interview and organize publishing in Ukrainian newspapers

Also please advise should I consult with Boies as to the following:

We make press release as to cooperation with Boies, send it out to Ukrainian mass media, make news article, maybe an interview with one of the partners ( maybe with Heather )of the firm, etc.

These are an optional short term steps, should you have in mind any additional move, please advise.
Best regards, Vadym
