Hey Chris,


I hope you are well. I just wanted to update you are where we are with
Counsyl and our Series D investment. Attached is the latest deal memo
laying out the investment thesis, but we all feel good about the entry price
of the round and our ability to continue to add material value to the
company's next stage of growth.


It looks like we will putting in between $26-27m closing next week which
would bring out total RSTP AUM to about $60m. Goldman Sachs increased their
commitment to the Series D from $15m to $25m on Tuesday, so a big step up
for them. We also have several prospective LPs conducting diligence that
could participate with another $20-30m, we will know more early next week.


Several of the GPs are participating in this round personally and we are in
process on getting the appropriate approvals from our LPs today. Let us
know if you would like to participate.


Will and John will be in NYC next Weds/Thurs and if you are around we'd like
