Dear NB Team,

On behalf of the entire RSTP Team, thank you for all the work you have put
into evaluating RSTP II and Counsyl. We are enjoying getting to know your
team and look forward to continuing to work together towards a partnership
between our firms.

By way of update, we did an initial closing of the Series D investment in
Counsyl yesterday. We will hold a second and final closing of the Series D
by the first week of June. RSTP is taking the lead in syndicating the
remainder of the round, of which about $15 million is available at this
point. An updated internal deal memo is attached. We expect significant
publicity for Counsyl in the coming weeks as they began their media tour
yesterday. We will forward along the press on the company as it hits the
wire.

We will also be holding a closing of RSTP II around this time as well. As
discussed with Brien and Doug last week, process is very important for both
of our firms and we understand this additional time will enable you to
complete your due diligence process on RSTP II.

Finally, our team will be in NY the weeks of May 12th, May 19th and May
26th. We have some windows during those weeks in which we could meet for
follow up due diligence. Please let us know some times that could work for
meetings as well as a dinner those weeks in NY.
