Things to remember - this is non-binding. Just a term sheet. Also, one of the goals of the agreement/term sheet is to make the transfer of assets tax neutral so neither of us has to pay tax on this transaction. That’s why the language balances creates an equivalency between CEFC and RSA. Bunch of other specifics we should discuss but this is a start for discussion. I am headed to lunch.
