Dear directors and venture partners,


We write to inform you of an unfortunate event involving Devon Archer C he
was involved in certain bond transactions which are under investigation by
the U.S. Justice Department and the SEC and he was named a co-defendant in
charges of U.S. securities fraud brought by the U.S. Attorney’s office and
the SEC in relation to these transactions. Devon has pled not guilty to the
charges brought against him and is working with his legal team in the
preparation of his defenses. These transactions are absolutely not
affiliated with BHR or any of its employees.

We trust and are confident that Devon will be cleared of any wrongdoings in
due time, in the meanwhile however, both Devon and BHR management deem it to
be in the best interests of BHR for Devon to resign from his director,
vice-chairman and also member of remuneration committee positions so that he
can focus on addressing his current problems and on clearing his name in the
charges brought against him. We are working with Devon’s team to finalise
the necessary paperwork to appoint his successor to the BHR board. It is
required under the BHR constitutional documents that Rosemont appoint a
vice-chairman as well as a member of the remuneration committee, which
positions can be assumed by the incoming new director or the remaining
Rosemont director, Hunter Biden, we are in discussions with the Rosemont
team on the appropriate candidate for such positions.


Devon has been removed from the firm’s website for the time being and we
kindly ask that you refrain from commenting in public about this incident.
Finally, please be assured that we are taking all measures to ensure minimal
impact to BHR.

证监会调查的债券交易案件，并被美国联邦检察官办公室及证监会指控为与该交易有关
