I talked to Andrew Godfrey this morning about this and he didn’t have any problem in concept with it. I then sent him your draft and he’s sending to his lawyers to review.

The only thing he said is 1) he wants to make sure everyone at Burnham is OK with it (I don’t think that there is anyone on the management team who will care and Andrew has authority) and 2) he wants to just figure out payroll - meaning he wants to make sure we are current on our transfers which I think we are for the current payroll cycle.

FYI, Burnham has paid out approx. $75,000 more to RSA than we contributed but that is in line with the asset assignment agreement and those payments were made in the early part of the relationship. According to the agreement we don’t owe Burnham any money until that total reached $120,000.

Eric – looks good. The only substantive changes I made were in the signature block. One of the signatories needs to be Rosemont because we are seeking to terminate the agreement between Rosemont and Burnham. I also added Joan in her personal capacity because if she signed her employment agreement, she needs to be a signatory to the termination.
