Hi Thad and Michael,

I hope you are well and I look forward to seeing you on Thursday.

Everyone from both teams has put in a lot of effort in preparation for the
workshop, so I am confident we will have a very production session.

After the larger session ends at 3pm, we will have smaller session with
Counsel to review the attached Deal Points Discussion document and have an
open discussion about deal options, etc.

I wanted to make sure you had this in time to review in advance of that
session.

Please circulate as needed.

Please let me know if you have any questions. I will be sending out a
comprehensive meeting prep email later today detailing the entire agenda,
etc.
