Dear all,

各位尊敬的董事和监事：


The BHR fifth Board Meeting is confirmed on 5th February 2015 (Thursday) at
Beijing Office. From 9:00 AM (Beijing Time), we will have a discussion
focused on the SOE reform fund, and all board members are welcomed to
attend. The official board meeting will start from 13:30PM to 18:00PM. And
thereafter we welcome you to attend a dinner party around 6:30pm.

渤海华美第五次董事会已定于2015年2月5日（星期四）在公司北京办公室正式召开，
会期1天。其中上午9:00开始主要是针对美方股东的关于国企混合所有制改革基金的英
文业务讨论会，欢迎各位董事参加。董事会正式会议将于下午1:30至6:00召开，会后安
排晚宴。


We look forward to your presence and will issue the meeting agenda and docs
later. If any director is unable to attend the meeting, please issue a
letter of authorization to appoint a proxy. Thank you.

敬请董事和监事准时出席会议，具体会议行程和文件将在稍晚发出。如有董事不能与

各位尊敬的董事和监事：


We wish to arrange a Board Meeting at the BHR office in Beijing to discuss
the report on 2014 work and the proposal on 2015 work plan, and deliberate
the 2014 bonus, etc. Currently, we are looking to set a date for the Board
Meeting in the first week of February 2015 (2nd Feb C 6th Feb). At this
stage, we would like to find out when everyone is available to attend this
Board Meeting. Please provide us with your availabilities. We will arrange
the Board Meeting at a time suitable for everyone and will notify you
shortly of the exact date.

我们计划在2015年2月的第一周（2月2日-2月6日）之间，在公司北京办公室召开渤海华
