That’s fine on not re-appointing Michael. For the audit committee, we can leave Michael’s seat vacant for now until a suitable candidate is found, but we need to appoint a supervisor, it’s required by the AOA, see relevant provisions below, in amended form to reflect the splitting up of Ulysses and Skaneateles, the process of registering the amendment as you know is underway.

Article 30 - Harvest, Ulysses and Thornton shall jointly appoint the Supervisor. The Supervisor shall serve a term of three (3) years (or such minimum duration as may be required by applicable Law of the PRC), renewable upon reappointment by Harvest, Ulysses and Thornton jointly. Harvest, Ulysses and Thornton shall have the right to jointly remove, reappoint and/or designate any successors to the Supervisor by written notice to the Company.

Article 28 - The Board shall set up an audit committee (“Audit Committee”), which shall consist of four (4) members and each of Bohai, Harvest, Ulysses and Angju shall have the right to appoint one (1) member. The Audit Committee shall be responsible for all matters relating to the audit of the Company. Any resolution of the Audit Committee shall be made by at least three (3) members.

I want to hold off on reappointing Michael Lin.

Michael has been non-responsive to our numerous requests for the KYC documents you sent earlier this week.

So I respectfully request we hold off on appointing him to a new Term him until I get a clear idea as to what is thoughts are
