Please see attached a revised draft of the operating agreement for Oneida Holdings LLC, clean and marked against the prior version. If the attached meets your approval, please execute where indicated and fill out your address for notice information on Schedule I.

Please be aware that, although Davis & Gilbert LLP has engaged our service company to form limited liability companies for some of you and has prepared operating agreements for those entities, Davis & Gilbert LLP continues to represent Tony Bobulinski and Oneida Holdings LLC (“Oneida”), and does not represent any of Oneida’s members or their owners (other than Tony and his entity), in their individual capacities. (Of course, Davis & Gilbert represents all of the owners of Oneida indirectly by representing Oneida in connection the JV with CEFC.) Accordingly, the preparation of the operating agreements for the members of Oneida does not in any way constitute any legal advice, and you are advised to seek your own legal, tax, estate planning and financial advice with regard to this matter and the appropriateness of this structure to your needs.
