The shares are straight common, and subject to a 30 day ROFR (right of first refusal) by the company. No recent trades have been blocked though, and I'm told there are no other restrictions. The seller wants to sell at least 15m shares, but if there is interest in a smaller number (say, $150mm tranches), he'd likely entertain that. He probably wouldn't entertain any pricing flexibility under that scenario though. They're making 0.4% available to me as a finders fee if we find a buyer, so happy to split that with you. The deal is being brokered by the seller's attorney, at Sandler O'Neill. Next step would be to set a call up w the attorney. They are trying to move quickly on this, so could set something up in short order. Let me know. -
