关于：请求缴纳注册资本及其他事项的议案

RE: Proposal for Capital Drawdown and Other Matters


渤海华美（上海）股权投资基金管理有限公司（“渤海华美”）注册资本为人民币2500
万元，截止目前，各股东已完成向渤海华美缴纳首期20%（即合计人民币500万元）注册
资本。

The registered capital of Bohai Harvest RST (Shanghai) Equity Investment
Fund Management Co., Ltd. (“BHR”) is RMB 25 million, of which 20% (i.e.,
RMB 5 million), as the first installment, has been funded by its
shareholders.


根据2014年2月18日召开的董事会会议要求，渤海华美制定了详细的工作时间表和预
算。目前渤海华美的管理制度、团队人员和内控机制已经建立，公司的日常运营逐步步
入常态化和规范化。

To implement the resolution passed by BHR’s board on February 18, 2014, a
detailed working schedule and budget have been formulated, and with
management rules, internal control mechanism as well as personnel in place,
BHR operates in an orderly fashion.


国际并购基金的募集准备工作已完成，储备的项目投资总金额接近20亿美元。从今年4
月初开始，境内外基金募集路演已大规模展开，渤海华美管理层有信心按照既定计划在
今年10月完成基金的首次交割。

Preparatory work for fundraising has been completed and a pipeline with an
investment amount of over USD 2 billion has been warehoused. Domestic and
overseas roadshow is under way as from this April and it is very likely for
BHR to hold the first closing this October.


由于基金募集路演和储备项目开发工作的全面展开，渤海华美各项费用支出大幅增加。
截止今年3月底，不包含渤海华美股东渤海产业投资基金管理有限公司为渤海华美垫付
的人员薪酬及差旅费用，渤海华美前期筹备产生的费用已经接近人民币300万元，预计
渤海华美的首期注册资本将在今年5月初用完。

Expenses have been increasingly incurred by BHR resulted from conducting
roadshow and sourcing investment opportunities. As of the end of this
March, Expenses of RMB 3 million other than employee salary and travel
expenses have been incurred. It is expected that the first installment will
be used up this May.


为了顺利推进国际并购基金募集工作，渤海华美现拟请求各股东于2014年5月10日前按
各自认缴比例完成向渤海华美缴纳全部剩余注册资本（即人民币2000万元）人民币，并
按约定比例提供或通过关联公司提供共计人民币500万元，以在海外注册成立美元基金
管理公司。

To support BHR’s fundraising efforts, it is therefore proposed that BHR’s
shareholders, by May 10, 2014, make their respective pro rata contribution
to the remaining registered capital of BHR (i.e., RMB 20 million) and
provide additional RMB 5 million for purposes of forming an offshore fund
manager as previously agreed upon.


另外，根据各发起人于2013年6月14日达成的《合作备忘录》，渤海华美可聘请募资代
理，协助公司募资，现提请董事会授权管理层聘请募资代理。

In addition, pursuant to provisions of the MOU dated June 14, 2013 among the
sponsors, BHR may engage placement agents to assist it in its fundraising.
It is therefore further proposed that BHR’s board authorize its management
to engage such agents.


敬请各位董事书面审议上述议案，并签署一式八份所附书面决议，快递至如下地址：北
